Common use of Duration of Royalty Obligations Clause in Contracts

Duration of Royalty Obligations. The royalty obligations of Licensee as to each Licensed Product or Licensed Process shall continue on a country-by-country basis until (a) (i) the expiration of the last to expire of a Valid Claim that covers such Licensed Product or Licensed Process in that country, or (ii) in the countries where no Valid Claim was filed the royalty obligation shall run concurrent with the last to expire Valid Claim in the United States or Europe, or (b) for a Licensed Product or Licensed Process not covered by a Valid Claim in any country but [***] after the date of the first commercial sale of such Licensed Product or Licensed Process in such country. Upon the termination of Licensee’s royalty obligations with respect to a Licensed Product or Licensed Process in a country, the license grants contained in Sections 2.1.-2.3 shall become fully paid-up, royalty-free, perpetual and irrevocable for such Licensed Product or Licensed Process in such country.
