Duration Of Parent’s Rights With Respect To Company Special Payment. Notwithstanding any other provision of this Agreement, the provisions of this Section 9.03 shall remain in effect and shall be enforceable by Parent or any successor in interest until the “Special Payment Termination Date”, which shall be the earliest to occur of: (i) the Effective Time of the Merger, (ii) the date that is 12 months after termination or expiration of this Agreement following the occurrence of a Time Extension Event; (iii) the date on which the Agreement is terminated in accordance with its terms, BUT ONLY IF such termination takes place PRIOR to the occurrence of a Payment Event or a Time Extension Event.
