Duration of Effectiveness. At the request of Buyer, the Company shall, subject to Section 2(b), use its reasonable best efforts to keep any registration statement for which Registrable Securities are included under this Section 3 effective and usable for up to 90 days (subject to extension for the length of any Registration Suspension Period), unless the distribution of securities registered thereunder has been earlier completed; provided, however, that in no event will the Company be required to prepare or file audited financial statements with respect to any fiscal year by a date prior to the date on which the Company would be so required to prepare and file such audited financial statements if such registration statement were no longer effective and usable.

Duration of Effectiveness. If the Executive violates any of the restrictive covenants set forth in this Section 5, the Company shall not, as a result of the time involved in obtaining relief, be deprived of the benefit of the full period of such restrictive covenant. Accordingly, each restrictive covenant shall remain in effect not only for the duration specified in Sections 5.01 and 5.02, hereof, but also for an additional period equal in length to the period during which the Executive remained in violation of such covenant.

A registration shall not count as one of the permitted registrations under this Section 4 until it has become and remains effective for a period of not less than 90 days; provided that, in any event, the Company shall pay all expenses in connection with any such registration whether or not it has become effective and whether or not such registration has counted as one of the permitted registrations.

At the request of a majority of the Registrable Securities, Equalnet shall use its best efforts to keep any registration statement for which Registrable Securities are included in an Incidental Registration effective and usable for not less than 180 days unless the distribution of securities registered thereunder has been earlier completed.
Duration of Effectiveness. A. This Article shall be effective October 1, 1982, subject to the transition provisions of Section 4 of this Arficle.
