Droits intellectuels. Le logiciel ainsi que sa méthodologie et ses manuels (soit dans leur entièretés ou soit chaque partie), sont protégés par le droit d’auteur Belge, par des traités internationaux (Convention de Berne) et des directives européennes pour la protection du droit d’auteur. La propriété intellectuelle du Logiciel (La suite logicielle TIMi incluant Anatella, Modeler, Stardust et Kibella), de ses manuels et de sa méthodologie est détenue par le fondateur de la TIMI : Xxxxx Vanden Berghen. Le logiciel est commercialisé par TIMI pour le compte de Frank Vanden Berghen. Vous reconnaissez et acceptez que le Logiciel, ainsi que son code source, sa structure et organisation, son xxxxxx et sa méthodologie (soit dans leur entièreté ou soit chaque partie) sont la propriété de Frank Vanden Berghen et que ce dernier conserve la propriété exclusive de tous droits, titre et intérêts liés au Logiciel, ses manuels, sa documentation, sa méthodologie et ses marques déposées. De même, Xxxxx Vanden Berghen conserve tous les droits sui generis sur le contenu des bases de données inclues dans le Logiciel et/ou le package du Logiciel. Exception faîte des paragraphes suscités, ni TIMI, ni Xxxxx Vanden Berghen ne revendiqueront de droits sur les modèles prédictifs, les modèles de segmentation, les rapports d’analyses et en général tous résultats statistiques extraits grâce au Logiciel. Vous ne pouvez pas enlever, modifier, détruire ou cacher les notes, marques ou mentions de copyrights ou de tout autre droit de propriété figurant sur le Logiciel. Vous prendrez des mesures raisonnables pour protéger le droit de propriétaire de Frank Vanden Berghen sur le Logiciel, ses manuels et sa méthodologie. Vous n’avez pas le droit de prendre des brevets, des copyrights, des marques déposées (enregistrées ou non enregistrée), ou tout autre droits, franchises ou licences liés au Logiciel, ses manuels et sa méthodologie. Tous les droits liés au Logiciel, ses manuels et sa méthodologie, qu’ils soient cités dans ce CLUF ou pas, sont entièrement et exclusivement la propriété de Frank Vanden Berghen.

  • Intellectual Property Rights Assignment For no additional compensation, Contractor hereby assigns to City all of Contractor’s rights, title, and interest in and to the content of the Deliverable Materials created by Contractor or its employees, agents, or subcontractors, including copyrights, in connection with the services performed under this Contract. Contractor shall promptly execute and deliver, and shall cause its employees, agents, and subcontractors to promptly execute and deliver, upon request by the City or any of its successors or assigns at any time and without further compensation of any kind, any power of attorney, assignment, application for copyright, patent, trademark or other intellectual property right protection, or other papers or instruments which may be necessary or desirable to fully secure, perfect or otherwise protect to or for the City, its successors and assigns, all right, title and interest in and to the content of the Deliverable Materials. Contractor also shall cooperate and assist in the prosecution of any action or opposition proceeding involving such intellectual property rights and any adjudication of those rights.

  • Copyrights and Trademarks The Client represents to Developer and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to Developer for inclusion in web pages are owned by the Client, or that the Client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend Developer and its subcontractors from any claim or suit arising from the use of such elements furnished by the Client.

  • INTELLECTUAL PROPERTY RIGHTS - DATA RIGHTS A. Data produced under this Annex which is subject to paragraph C. of the Intellectual Property Rights - Data Rights Article of the Umbrella Agreement will be protected for the period of one year.

Contractor may not use State Intellectual Property for any purpose other than as specified in this Contract. Upon expiration or termination of this Contract, Contractor shall return or destroy all State Intellectual Property and all copies thereof, and Contractor shall have no further right or license to such State Intellectual Property. Contractor acquires no rights or licenses, including, without limitation, intellectual property rights or licenses, to use State Intellectual Property for its own purposes. In no event shall the Contractor claim any security interest in State Intellectual Property.

  • Proprietary Rights and Licenses 7.1 Subject to the limited rights expressly granted under this Agreement, we and our licensors reserve all of right, title and interest in and to the Sage Services and Content, including all related intellectual property rights. No rights are granted to you other than as expressly set out in this Agreement.

  • Intellectual Property Rights and Ownership 5.1. You acknowledge that all Intellectual Property Rights (including any new Intellectual Property Rights) arising out of or in connection with the Access Products and associated Documentation, belong at all times to Us or Our licensors.

  • OWNERSHIP OF DELIVERABLES & INTELLECTUAL PROPERTY RIGHTS 5.1 Supplier hereby assigns and grants to Accenture all rights and licenses necessary for Accenture to access, use, transfer, and sell the Deliverables and to exercise the rights granted under the Agreement, and pass-through the same to its Affiliates and designated users, for the use and benefit of Accenture and in providing services to Accenture’s clients and business partners. Except with respect to any proprietary materials, programs, and documentation provided by Supplier or its suppliers and in existence prior to the services being performed under the Agreement (“Pre-Existing Materials”), all right, title and interest in the Deliverables, including all intellectual property rights, will be the exclusive property of Accenture, to the extent permitted by applicable law. Supplier hereby assigns to Accenture ownership of all right, title and interest in the Deliverables (excluding Pre-Existing Materials) and waives any moral rights therein.
