Common use of Domestic Subcustodians and Foreign Subcustodians Clause in Contracts

Domestic Subcustodians and Foreign Subcustodians. The Custodian shall be liable for (i) the actions or omissions of any Domestic Subcustodian selected by the Custodian to the same extent as if such action or omission were performed by the Custodian itself, or (ii) consistent with the provisions of the Rule 17f-5 Procedures and Guidelines included in Appendix B to this Agreement, the failure of any Foreign Subcustodian to exercise reasonable care or to fulfill its duties and obligations in accordance with the applicable subcustodian agreement. If a Fund directs the Custodian to appoint a specific Domestic Subcustodian, the Custodian shall, with respect to such Domestic Subcustodian, be responsible only for losses arising from the Custodian’s own negligence, fraud, willful default or willful misconduct (and not that of the Domestic Subcustodian). In the event of any loss, damage or expense suffered or incurred by a Fund caused by or resulting from the actions or omissions of any Domestic Subcustodian or Foreign Subcustodian for which the Custodian is liable, the Custodian shall reimburse such Fund in the amount of any such loss, damage or expense.

If a Fund directs the Custodian to appoint a specific Domestic Subcustodian, the Custodian shall, with respect to such Domestic Subcustodian, be responsible only for losses arising from the Custodian’s its own negligence, fraud, willful default or default, willful misconduct (or failure to act in good faith or exercise reasonable care, diligence and not that of the Domestic Subcustodian)prudence as a professional custodian. In the event of any loss, damage or expense suffered or incurred by a Fund caused by or resulting from the actions or omissions omission of any Domestic Subcustodian or Foreign Subcustodian for which the Custodian is liable, the Custodian shall reimburse such Fund in the amount of any such loss, damage or expense.
