Common use of Document Precedence Clause in Contracts

Document Precedence. In the event of any inconsistencies between this Agreement (not including the Exhibits) and the other documents that cannot reasonably be reconciled, the following order of precedence in the interpretation hereof or resolution of such conflict hereunder shall prevail. For the avoidance of doubt, items 2-5 below are intended to be read together and the following order of precedence shall only apply where an irreconcilable conflict exists. (1) duly authorized and executed Change Orders and written amendments to this Agreement executed by both Parties; (2) this Agreement; (3) the Scope Book (body of agreement and then the appendices thereto); (4) the remaining Exhibits hereto; and (5) design drawings and specifications produced and delivered pursuant hereto.
