Distribution Operations. Unless the holders of a majority of the Shares agree to the contrary, within 90 days from the date of this Agreement the Company will relocate its distribution operations to its facility in South Plainfield, New Jersey, or such other location mutually agreed to by the Company and a majority of the holders of the outstanding shares of Series Q Stock.
Distribution Operations. Distributor will perform the following additional services under the Depot: i. Maintain a toll free 24-hour every day phone line and a separate fax line for Customers to place orders for Depot Product and for Distributor to respond to Customer emergency calls; ii. Receive, complete, process and ship Depot Product in fulfillment of Distribution Requests from Customers; iii. Assign a unique Distribution Request ID number that meets *** requirements under *** to each Depot Product shipment, and record *** and its corresponding *** into Distributor’s ***; iv. Electronically report inventory information for Depot Products in a mutually agreed upon format; v. Collect *** from each Customer such data as mutually agreed upon by the parties and set forth on Schedule A and report the data to the Company on a *** basis; and vi. Ship educational materials and aids, in a form approved and provided by the Company, which describe Depot Product and/or the disease states for which it is indicated as treatment and which Distributor deems appropriate for its distribution to Customers, with and/or separate from Depot Product shipments to Customers.

Electronically report inventory information for Depot Products in a mutually agreed upon format; v. Collect weekly from each Customer such data as mutually agreed upon by the parties and set forth on Schedule A and report the data to the Company on a weekly basis; and vi. Ship educational materials and aids, in a form approved and provided by the Company, which describe Depot Product and/or the disease states for which it is indicated as treatment and which Distributor deems appropriate for its distribution to Customers, with and/or separate from Depot Product shipments to Customers.
Distribution Operations. (A) Publisher will use commercially reasonable efforts to Fulfill the Advertising as described in each applicable Order, subject to compliance with the applicable Terms & Conditions, including commercially reasonable efforts to publish and/or distribute the Advertising and/or the Media in which the Advertising appears. Except as otherwise provided on the applicable Order and/or Addenda, the manner, nature, and extent of distribution, including the use of Vendors, shall be at the sole discretion of Publisher. This shall constitute Publisher’s sole commitment to Advertiser, and no other commitment may be assumed or inferred from any other source or document. (B) Publisher reserves the right, on behalf of itself and any Vendor, not to Fulfill and/or distribute any Advertising that does not meet Publisher’s applicable specifications, publication standards, or the publication standards of any Vendor (“Specifications and Standards”) or that Publisher otherwise deems unacceptable in its sole discretion. Instead of rejecting Advertising in its entirety Publisher or Vendor may, but is not required to, change a portion of the Advertising with or without notice or obligation to Advertiser. Publisher does not warrant to Advertiser that Advertising of other customers will comply with such Specifications and Standards. The scope of distribution of Advertising may change at any time in Publisher’s sole and absolute discretion without notice or obligation to Advertiser. Publisher and/or any Vendor may change their Specifications and Standards at any time and without notice or obligation to Advertiser. Advertiser agrees that Publisher shall have no liability, and Advertiser shall not be entitled to any credit, reduction, or refund, for any changes which a Vendor may make to Advertising in order to bring it into compliance with Vendor practices and procedures. (C) Unless otherwise expressly agreed on the applicable Order or Addendum, Advertiser acknowledges that Fulfillment of Advertising may include distribution to Media as to which neither Publisher nor the Vendor generates all of the content. Advertiser further acknowledges that, depending upon the type of Advertising, the nature of distribution is such that it may not be possible for Publisher or Vendor to exercise complete control over where a particular Advertising may appear. In that circumstance, neither Publisher nor the Vendor are responsible for such content, and Advertiser acknowledges that it is not possible to...
