Common use of Distribution of Information Clause in Contracts

Distribution of Information. The Borrower hereby authorizes the Agent and the Lenders, as the Agent and the Lenders may elect in their sole discretion, to discuss with and furnish to any affiliate of the Agent and the Lenders, to any government or self-regulatory agency with jurisdiction over the Agent and the Lenders, or to any participant or prospective participant, all financial statements, audit reports and other information pertaining to the Borrower and/or its Subsidiaries whether such information was provided by Borrower or prepared or obtained by the Agent and the Lenders or third parties. Neither the Agent nor the Lenders nor any of their employees, officers, directors or agents make any representation or warranty regarding any audit reports or other analyses of Borrower which the Agent or the Lenders may elect to distribute, whether such information was provided by Borrower or prepared or obtained by the Agent, the Lenders, or third parties, nor shall the Agent, the Lenders, or any of their employees, officers, directors or agents be liable to any Person receiving a copy of such reports or analyses for any inaccuracy or omission contained in such reports or analyses or relating thereto.

The Borrower hereby authorizes the Agent and the LendersAgent, as the Agent and the Lenders may elect in their its sole discretion, to discuss with and furnish to any affiliate of the Agent and the Lenders, to any government or self-regulatory agency with jurisdiction over the Agent and the Lenders, Lenders or to any participant or prospective other Person having an interest in the Obligations (whether as a guarantor, pledgor of collateral, participant, purchaser or otherwise) all financial statements, audit reports and other information pertaining to the Borrower and/or and its Subsidiaries whether such information was provided by the Borrower or prepared or obtained by the Agent and the Lenders or third partiesAgent, subject to Section 9.14. Neither the Agent nor the Lenders nor any of their its employees, officers, directors or agents make makes any representation or warranty regarding any audit reports or other analyses of Borrower the Borrower's and its Subsidiaries condition which the Agent or the Lenders may elect to distribute, whether such information was provided by the Borrower or prepared or obtained by the Agent, the Lenders, or third parties, nor shall the Agent, the Lenders, Agent or any of their its employees, officers, directors or agents be liable to any Person person or entity receiving a copy of such reports or analyses for any inaccuracy or omission contained in such reports or analyses or relating thereto. Except as expressly set forth herein, the Agent shall have no duty to disclose, and shall not be liable for the failure to disclose, any information relating to the Borrower or any of the Subsidiaries that is communicated to or obtained by the bank serving as Agent, or any of such Bank's Affiliates, in any capacity.
