Distribution Management. The Distributor shall establish and maintain an adequate and efficient network to maximise the distribution and sale of the Products in the Territory. The Distributor shall ensure that there is a proper channel of communications with End Customers. The Distributor shall prepare and put in place for the Territory a distribution and sales plan, which shall be fully discussed and agreed with by Principal before its implementation. The Distributor shall use its best endeavours for the marketing of the Products in the Territory in order to maintain and increase sales of the Products. Except for any fees specifically stated in this Agreement to be borne by Principal, the Distributor shall bear all the costs, charges, fees or other expenses which it may incur in connection with or arising out of its performance of its duties under this Agreement, ie. any sales discounts or rebates paid to End Customers in relation to the sale of the Products.
