Distribution Generally. At any time after the IPO Date, if Retail Ventures, in its sole and absolute discretion, advises DSW that Retail Ventures intends to pursue a Distribution, DSW agrees to take all action reasonably requested by Retail Ventures to facilitate the Distribution.
