Disputes based on Client Actions. (1) Any decision of the Government under the Prime Contract, if binding on Chemonics, shall also bind the Supplier to the extent that it relates to this BOA, provided that Chemonics shall have promptly notified the Supplier of such decision and, if requested by the Supplier, shall have brought suit or filed claim, as appropriate against the Government, or, in alternative, agreed to sponsor the Supplier’s suit or claim. A final judgment in any such suit or final disposition of such claim shall be conclusive upon the Supplier.
