Disputed Statement. If the Supplier disputes a Statement or any portion thereof, the Party owing any amount set forth in the Statement shall, notwithstanding such dispute, pay the entire amount set forth in the Statement to the other Party. The Supplier shall provide written notice to the Buyer setting out the portions of the Statement that are in dispute with a brief explanation of the dispute. If it is subsequently determined or agreed that an adjustment to the Statement is appropriate, the Buyer will promptly prepare a revised Statement. Any overpayment or underpayment of any amount due under a Statement shall bear interest at the Interest Rate, calculated daily, from and including the time of such overpayment or underpayment to the date of the refund or payment thereof. Payment pursuant to the revised Statement shall be made on the tenth (10th) Business Day following the date on which the revised Statement is delivered to the Supplier. If a Statement dispute has not been resolved between the Parties within five (5) Business Days after receipt of written notice of such dispute by the Buyer, the dispute may be submitted by either Party to a Senior Conference pursuant to the terms of Section 16.1.

Disputed Statement. In the event any portion of any statement or Environmental Attribute is in dispute, the undisputed amount shall be paid when due. The Party disputing a payment or Environmental Attribute shall promptly notify the other Party of the basis for the dispute. Disputes shall be discussed by the parties, who shall use reasonable efforts to amicably and promptly resolve the disputes.

The Counterparty shall provide written notice to the applicable Party setting out the portions of the Statement that are in dispute with a brief explanation of the dispute; provided, however, that any determination of Fair Market Value in accordance with Schedule 3 that is accurately reflected in a Statement may not be, for greater certainty, disputed by the Counterparty. If it is subsequently determined or agreed that an adjustment to the Statement is appropriate, the applicable Party will promptly (and, in any event, within ten (10) Business Days) prepare and deliver a revised Statement to the Counterparty. Any overpayment or underpayment of a Statement shall bear interest at the Interest Rate plus 2%, calculated daily and compounded monthly, from and including the time of such overpayment or underpayment to the date of the refund or payment thereof. Payment pursuant to the revised Statement shall be made on the tenth (10th) Business Day following the date on which the revised Statement is delivered to the Counterparty. If a Statement dispute has not been resolved between the relevant Parties within five (5) Business Days after receipt of written notice of such dispute by the relevant Party, the dispute may be submitted by either Party to a Senior Conference pursuant to the terms of Section 9.1 and thereafter to formal dispute resolution in accordance with the terms of Section 9.2.
Disputed Statement. ‌ If the Participant disputes a Monthly Settlement or any portion thereof, the Party owing any amount pertaining to the Monthly Settlement set forth in the Settlement Statement shall, notwithstanding such dispute, pay the entire applicable amount set forth in the Settlement Statement to the other Party. The Participant shall provide written notice to the Sponsor setting out the portions of the Monthly Settlement that are in dispute with a brief explanation of the dispute. If it is subsequently determined or agreed that an adjustment to the Settlement Statement is appropriate, such adjustment will be made on a subsequent Settlement Statement. If a dispute under this Section 6.7 has not been resolved between the Parties within five (5) Business Days after receipt of written notice of such dispute by the Sponsor, the dispute may be submitted by either Party to a Senior Conference pursuant to the terms of Section 13.1.

Disputed Statement. If either Party, in good faith, disputes any billing, statement or other payment request (the “Disputing Party”), the Disputing Party will pay to the other Party (the “Non-Disputing Party”) any undisputed amount and will notify the Non­Disputing Party in writing within thirty (30) Days of receipt of such billing or statement that the Disputing Party disputes other amounts, which notice will include adequate documentation demonstrating the amount of and the good faith basis for the dispute. The Parties will endeavor in good faith to resolve such dispute within thirty (30) Days following the Non-Disputing Party’s receipt of such notice. Subject to the audit rights set forth in Section ‎5.5, the Disputing Party irrevocably waives the right to dispute or challenge, and hereby agrees not to dispute or challenge, any invoice or statement if the Disputing Party does not dispute or challenge that invoice or statement in writing within thirty (30) Days of receipt of such invoice or statement or otherwise in accordance with this Section ‎5.4. Any disputed amount that is later determined to be due to Gatherer shall be subject to late payment charges pursuant to Section ‎5.2(c).
Disputed Statement. In the event that Shipper, in good faith, disputes any billing or statement, Shipper shall pay to Gatherer any undisputed amount and shall notify Gatherer in writing within twenty (20) Days following receipt of the invoice that Shipper disputes other amounts, which notice shall include adequate documentation demonstrating the amount of and basis for the dispute. The Parties shall endeavor in good faith to resolve such dispute as provided in Section 16.3 within thirty (30) Days following Gatherer’s receipt of such notice.
