Discharge Only upon Payment in Full; Reinstatement in Certain Circumstances. The Guarantors' obligations hereunder shall remain in full force and effect until all Guaranteed Obligations shall have been paid in full and the Commitments under the Credit Agreement shall have terminated or expired. If at any time any payment of the principal of or interest on any Note or any other amount payable by the Borrower under the Credit Agreement or any other Loan Document is rescinded or must be otherwise restored or returned upon the insolvency, bankruptcy or reorganization of the Borrower or otherwise, the Guarantors' obligations hereunder with respect to such payment shall be reinstated as though such payment had been due but not made at such time.

Discharge Only upon Payment in Full; Reinstatement in Certain Circumstances. The Guarantors' ’ obligations hereunder shall remain in full force and effect until all Guaranteed of the payment Obligations shall have been paid in full and all of the Commitments under the Credit Agreement shall have terminated or expiredterminated. If at any time any payment of the principal of or interest on any Note or any other amount payable by the Borrower made under the Credit this Agreement or any other Loan Document is rescinded or must otherwise be otherwise restored or returned upon the insolvency, bankruptcy or reorganization of the Borrower a Loan Party or any other Person or otherwise, then the Guarantors' ’ obligations hereunder with respect to such payment shall be reinstated at such time as though such payment had been due but not made at such timetime and each Guarantor hereby expressly waives the benefit of any statute of limitations or prescriptive term affecting the Guarantor’s liability in respect thereof.

The Guarantors' Each Subsidiary Guarantor’s obligations hereunder shall remain in full force and effect until all Guaranteed the Revolving Credit Loan/Term Loan Obligations shall have been paid in full and the Revolving Credit Loan Commitments under the Credit Agreement shall have terminated or expiredbeen terminated. If at any time any the payment of the principal of or interest on any Note or any other amount payable by the Borrower Borrower, in respect of the Revolving Credit Loan Facility and the Term Loans under the Credit Agreement or any other Loan Financing Document is rescinded or must be otherwise restored or returned upon the insolvency, bankruptcy or reorganization of the Borrower or otherwise, the Guarantors' applicable Subsidiary Guarantor’s obligations hereunder with respect to such payment shall be reinstated at such time as though such payment had been due but not made at such time.

If at any time any payment of the principal of or interest on any Note Loan or any other amount payable by the any Borrower or any other party under the Credit Agreement this Agreement, any Lender Swap Agreement, any document evidencing Bank Product Obligations, or any other Loan Document is rescinded or must be otherwise restored or returned upon the insolvency, bankruptcy or reorganization of the any Borrower or otherwise, each of the Guarantors' Guarantor’s obligations hereunder with respect to such payment shall be reinstated as though such payment had been due but not made at such time.

If at any time any payment amount paid in respect of the principal of or interest on any Note or any other amount payable by the Borrower under the Credit Agreement or any other Loan Document Guaranteed Obligations is rescinded or must be otherwise restored or returned upon the insolvency, bankruptcy or reorganization of the Borrower any Obligor or otherwise, the Guarantors' each Guarantor's obligations hereunder with respect to such payment shall be reinstated at such time as though such payment had been due but not made at such time.

The Guarantors' obligations of the Guarantors hereunder shall remain in full force and effect until all Guaranteed Obligations of the payment obligations of the Borrowers under the Credit Documents shall have been paid or otherwise performed in full and all of the Commitments under the Credit Agreement shall have terminated or expiredterminated. If at any time any payment of the principal of or interest on any Note or any other amount payable by the Borrower under the Credit this Agreement or any other Loan Document is rescinded or must be otherwise restored or returned upon the insolvency, bankruptcy or reorganization of the Borrower or otherwise, the Parent Guarantors' obligations hereunder with respect to such payment shall be reinstated at such time as though such payment had been due but not made at such time.

The parties hereto acknowledge and agree that each of the Guaranteed Obligations shall be due and payable in Dollars.

If at any time any payment of the principal of Rent or interest on any Note Yield or any other amount payable by the Borrower Company under the Credit Agreement Investment Agreement, the Agency Agreement, or any other Loan Operative Document is rescinded or must be otherwise restored or returned upon the insolvency, bankruptcy or reorganization of the Borrower Company or otherwise, the Guarantors' Guarantor's obligations hereunder with respect to such payment shall be reinstated as though such payment had been due but not made at such time.

If at any time any payment of the principal of or interest on any Note Loan or any other amount payable by the any Borrower under the Credit this Agreement or any other Loan Document is rescinded or must be otherwise restored or returned upon the insolvency, bankruptcy or reorganization of the such Borrower or otherwise, the Guarantors' Parent’s obligations hereunder with respect to such payment shall be reinstated as though such payment had been due but not made at such time.

If at any time any payment of the principal of or interest on any Note or any other amount payable by the Borrower under the Amended and Restated Credit Agreement or any other Loan Document is rescinded or must be otherwise restored or returned upon the insolvency, bankruptcy or reorganization of the Borrower or otherwise, the Guarantors' Guarantor's obligations hereunder with respect to such payment shall be reinstated as though such payment had been due but not made at such time.

Discharge Only upon Payment in Full; Reinstatement in Certain Circumstances. The Guarantors' obligations of the Guarantors hereunder shall remain in full force and effect until all Guaranteed Obligations of the payment obligations of the Borrower under the Credit Documents shall have been paid or otherwise performed in full and all of the Commitments under the Credit Agreement shall have terminated or expiredterminated. If at any time any payment of the principal of or interest on any Note or any other amount payable by the Borrower made under the Credit this Agreement or any other Loan Credit Document is rescinded or must otherwise be otherwise restored or returned upon the insolvency, bankruptcy bankruptcy, reorganization, recuperação judicial ou extrajudicial, falência or reorganization similar event of the Borrower or any other Person or otherwise, then the Guarantors' obligations of the Guarantors hereunder with respect to such payment shall be reinstated at such time as though such payment had been due but not made at such time.

Discharge Only upon Payment in Full; Reinstatement in Certain Circumstances. The Guarantors' Guarantor's obligations as guarantor hereunder shall remain in full force and effect until the Commitments shall have terminated and all Guaranteed Obligations (except as to principal and interest with respect to the Facility B Loans) shall have been paid in full and the Commitments under the Credit Agreement shall have terminated or expiredin money. If at any time any payment of the principal of or principal, interest on any Note or any other amount payable by the Borrower Company under the Credit this Agreement or any other Loan Document Note is rescinded or must be otherwise restored or returned upon the insolvency, bankruptcy or reorganization of the Borrower Company or otherwise, the Guarantors' Guarantor's obligations hereunder with respect to such payment shall be reinstated as though such payment had been due but not made at such time.

The Guarantors' Guarantor's obligations hereunder shall remain in full force and effect until the Commitments are terminated and the principal of and interest on the Notes and all Guaranteed Obligations shall have been paid in full and the Commitments under the Credit Agreement shall have terminated or expiredfull. If at any time any payment of the principal of or interest on any Note or any other amount payable by the Borrower under the Credit Agreement or any other Loan Document Guaranteed Obligation is rescinded or must be otherwise restored or returned upon the insolvency, bankruptcy or reorganization of the Borrower or otherwise, the Guarantors' Guarantor's obligations hereunder with respect to such payment shall be reinstated at such time as though such payment had been become due but had not been made at such time.

Discharge Only upon Payment in Full; Reinstatement in Certain Circumstances. The Guarantors' Guarantor's obligations hereunder shall remain in full force and effect until all Guaranteed Obligations shall have been paid in full and the Commitments under the Credit Agreement shall have terminated or expired. If at any time any payment of the principal of or interest on any Note or any other amount payable by the Borrower Principal under the Credit Agreement or any other Loan Document is rescinded or must be otherwise restored or returned upon the insolvency, bankruptcy or reorganization of the Borrower Principal or otherwise, the Guarantors' Guarantor's obligations hereunder with respect to such payment shall be reinstated as though such payment had been due but not made at such time.

Discharge Only upon Payment in Full; Reinstatement in Certain Circumstances. The Guarantors' Guarantor's obligations hereunder shall remain in full force and effect until the Commitments shall have terminated and the principal of and interest on the Notes and all Guaranteed Obligations other amounts payable by the Borrower under this Agreement shall have been paid in full and the Commitments under the Credit Agreement shall have terminated or expiredfull. If at any time any payment of the principal of or interest on any Note or any other amount payable by the Borrower under the Credit this Agreement or any other Loan Document is rescinded or must be otherwise restored or returned upon the insolvency, bankruptcy or reorganization of the Borrower or otherwise, the Guarantors' Guarantor's obligations hereunder with respect to such payment shall be reinstated at such time as though such payment had been due but not made at such time.
