Common use of Discharge of Senior Obligations Clause in Contracts

Discharge of Senior Obligations. Notwithstanding anything to the contrary in this Agreement, (i) no prepayments of the Term Loans shall be required pursuant to Sections 2.14(a), (b), (d) or (e) if such prepayment is prohibited by (A) the First Lien Credit Agreement or any agreement governing First Lien Credit Agreement Refinancing Indebtedness, (B) the terms of any agreement or instrument governing any other First Lien Obligations, (C) the Intercreditor Agreement or (D) any other intercreditor agreement in form and substance reasonably satisfactory to the Administrative Agent and (ii) unless and until the Discharge of Senior Obligations (as defined in the Intercreditor Agreement) shall have occurred, no prepayment that would otherwise be required pursuant to this Section 2.14 shall be required to be made other than with amounts declined by both (x) First Lien Lenders pursuant to subsection 2.15(d) of the First Lien Credit Agreement and (y) holders of any other Senior Obligations (as defined in the Intercreditor Agreement) pursuant to the equivalent terms of the agreement or instrument governing such Indebtedness (if any), in which case such prepayment shall be required to be made within five Business Days of the latest deadline for First Lien Lenders and holders of such Senior Obligations to decline the applicable prepayment.
