Common use of Directors/Managers Clause in Contracts

Directors/Managers. At the First Effective Time, and by virtue of the Merger, the director(s) of Merger Sub immediately prior to the First Effective Time shall be the initial director(s) of the Interim Surviving Corporation, each to hold office in accordance with the Certificate of Incorporation and By-laws of the Interim Surviving Corporation, until their respective successors are duly elected and qualified. At the Second Effective Time, and by virtue of the LLC Merger, the manager(s) of the LLC immediately prior to the Second Effective Time shall be the initial manager(s) of the Final Surviving Entity, until their respective successors are duly elected or appointed and qualified.
