Common use of Development Support Clause in Contracts

Development Support. (a) Each Party shall make its Representatives that are knowledgeable regarding the Licensor Technology, the Collaboration Compound or Product (including the properties and functions thereof), available to the other Party for scientific and technical explanations, advice and on-site support that may reasonably be required by the other Party relating to the Development of the Collaboration Compound and Product (the “Development Support”). The Development Support shall be provided by each Party to the other Party free-of-charge during the Term, but the Party receiving Development Support shall reimburse the Party providing Development Support for all Out-of-Pocket Expenses incurred by such Party in providing the Development Support.
