Development Obligations. (i) Apollomics shall use Commercially Reasonable Efforts to Develop the Licensed Drug Substance and Licensed Product and seek Marketing Approval for the Licensed Product in indications mutually agreed upon between the Parties in the Licensed Field in the Licensed Territory, in accordance with the requirements of this Agreement and in conformity with all applicable Law. Apollomics’s obligations under this Section 4.1 shall include, but not be limited to, the following: (a) using Commercially Reasonable Efforts to Develop the Licensed Drug Substance and Licensed Product in the Licensed Field in the Licensed Territory in accordance with the Joint Development Plan; and (b) using Commercially Reasonable Efforts to obtain, and once obtained, to hold and maintain, Marketing Approval for the Licensed Product in the Licensed Field in the Licensed Territory. (ii) Edison shall conduct those Development activities as required under Section 4.2(ii) below.
