Development and Acceptance. 2.1 Subject to the payment of the NRE Fee, Violin will perform the development service of the Products in accordance with the development schedule as set forth in Appendix B (“Services”), and deliver the Deliverables that meet the Specifications in accordance with the schedule set forth in Appendix B. 2.2 Within *** after receipt of each Product’s Developmental Samples (“Acceptance Period”), Toshiba shall test the Developmental Samples against the Specifications, internally with its own test tool and environment. Before the end of the Acceptance Period, Toshiba shall provide Violin with a written notice of acceptance of the Developmental Samples or a written notice of rejection that specifies reasons for Toshiba’s rejection. Developmental Samples may be rejected only if they do not comply with the applicable Specifications in any commercially material respect. If Toshiba does not send such a notice of rejection that is received by Violin during the Acceptance Period (or if Toshiba orders any 1st Samples or 2nd Samples under Section 2.5), the Developmental Samples, as the case may be, shall be deemed accepted for the relevant
Development and Acceptance. 4.1 Once Enjoy Digital has completed the design and development of the Deliverables in accordance with a Phase of the Project Plan or Deliverables in accordance with a Statement of Work, Enjoy Digital shall notify the Customer to that effect and that Enjoy Digital have completed their internal testing and the Customer should commence the Acceptance Tests. As soon as reasonably practicable (and in any event within ten (10) Business Days), the Customer shall test the Deliverables for that Phase of the Project. The Customer shall notify Enjoy Digital of any errors in the Deliverables Project. The procedure set out in this clause 4 shall be repeated in respect of each Phase or Deliverables and any further development works agreed by the parties from time to time. 4.2 The Acceptance Tests shall test compliance of the Deliverables with the Specifications or the Deliverables under a Statement of Works. 4.3 Acceptance of the Deliverables or the Services shall occur when the Deliverables have passed the Acceptance Tests. The Customer shall notify Enjoy Digital when the tests have been passed and provide the results of the Acceptance Tests to Enjoy Digital in writing. 4.4 If any failure to pass the Acceptance Tests results from a defect which is caused by an act or omission of the Customer, or by one of the Customer's sub-contractors or agents for whom Enjoy Digital has no responsibility (Non-Supplier Defect), the Deliverables shall be deemed to have passed the Acceptance Tests notwithstanding such Non-Supplier Defect. Enjoy Digital shall provide assistance reasonably requested by the Customer in remedying any Non-Supplier Defect by supplying additional services or products (“Additional Services”). The Customer shall pay Enjoy Digital in full for all such Additional Services and products at Enjoy Digital's then current fees and prices. 4.5 Acceptance of the Deliverables shall be deemed to have taken place upon the occurrence of any of the following events: (a) the Customer uses any part of the Deliverables for any revenue-earning purposes or to provide any services to third parties other than for test purposes; or (b) the Customer unreasonably delays the start of the relevant Acceptance Tests or any retests for a period of ten (10) Business Days from the date on which Enjoy Digital notifies the Customer that Enjoy Digital are ready to commence running such Acceptance Tests or retests.
Development and Acceptance. 1.1 Subject to the payment of the fees and the provision of Client Content by the Client, Rotary Printers agrees to design, construct and implement the project using reasonable endeavours and in accordance with the approved proposed Specification and any other provisions of this agreement. 1.2 Rotary Printers shall notify the client when the project or any agreed part is available for approval. Unless otherwise provided by the Client, as soon as reasonably practicable, Rotary Printers shall test the Project or part and report results to the Client. The Client shall notify Rotary Printers of any errors in that version of the Project. 1.3 If the Client notifies Rotary Printers of any errors, Rotary Printers shall endeavour to correct such errors within 7 working days. Subject to clauses 2.1 and 2.2 1.4 If the Client does not notify Rotary Printers of any errors, the project shall not be accepted until all parts of the project are accepted.

If the Service is rejected, Retailer will give the reasons for rejection and True Fit will use commercially reasonable efforts to correct all identified deficiencies for re-evaluation. Development and Acceptance. 2.1 Subject to the payment of the Fees as specified in Section B Payment Schedule and the provision of Client Content by the Client, the Developer agrees to design and implement the Project using reasonable endeavours and in accordance with the Specification, the Project Plan and the other provisions of this Agreement. 2.2 The Developer shall notify the Client when the Project or any agreed part is available for acceptance testing. Unless otherwise provided by the Client, as soon as reasonably practicable, the Developer shall test the Project or part and report all the results to the Client. The Client shall notify the Developer of any Errors in that version of the Project. 2.3 If the Client notifies the Developer of any Errors, the Developer shall endeavour to correct such Errors and clause 2.2 shall apply again to such Project or part. 2.4 If the Client does not notify Developer of any Errors as provided in clause 2.3, or if the Client notifies the Developer that there are no Errors in that version, then the Project or the relevant part shall be Accepted and can be published on the internet to go ‘ Go Live’.
