Common use of Deutsche Bank AG, London Branch Clause in Contracts

Deutsche Bank AG, London Branch. is hereby appointed UK Administrative Agent hereunder by each Lender and each Lender hereby authorizes UK Administrative Agent to act hereunder and under the other instruments and agreements referred to herein as its agent hereunder and thereunder, and Deutsche Bank AG, London Branch, agrees to act as such upon the express conditions contained in this Section 8. The provisions of this Section 8 are solely for the benefit of Agents and Lenders, and no Borrower shall have any rights as a third party beneficiary of any of the provisions hereof (except with respect to the provisions relating solely to consent rights set forth in subsection 8.6). In performing their functions and duties under this Agreement, Agents shall act solely as agents of Lenders (except in connection with the exercise of consent rights pursuant to subsection 10.7A) and do not assume and shall not be deemed to have assumed any obligation towards or relationship of agency or trust with or for Company or any of its Subsidiaries. Neither Co-Syndication Agent nor any Lenders named as Joint Lead Arrangers, Managing Agents, Co-Agents or Lead Book Managers hereunder shall have no duties or any liability under this Agreement to any Person, other than as Lenders hereunder.
