Designated Project. (a) Each project which satisfies the following criteria is a “Designated Project”, and becomes part of the Territory hereunder:
(i) the project must satisfy either of the following:
(A) With respect to the development of a property by ASEC or in which ASEC will participate (“Designated Property”), ASEC must designate to UOR the property or properties to be developed (“Property”), together with the other parties involved, if any, such designation to include:
(1) The name of the party, in the case of a Property being developed with a third party; and
(2) The location of the property/project, with a description of the foregoing to include location, type of hydrocarbon extracted, and general scope of the project. OR
(B) With respect to the licensing or sub-licensing of the Licensed Technology, UOR Process and/or UOR Solvent to a third party (“Designated Party”), ASEC shall designate to UOR:
(1) The name of the party; and
(2) The proposed location of the property/project, with a description of the foregoing to include location, type of hydrocarbon extracted, and general scope of the project.
(ii) UOR does not have a pre-existing relationship with the Designated Party as of the date of this Agreement. If UOR has a pre-existing relationship with a Designated Party, it will notify ASEC within three (3) business days from receipt of the designation notice of such relationship and provide reasonable documentation evidencing the relationship; and
(iii) ASEC and the Designated Party enter into a Definitive Agreement with respect to the Designated Project within 180 days from the date of the designation notice received by UOR, unless extended by mutual agreement. (collectively subparagraphs (a)(i)-(ii) above are herein referred to as the “Criteria”)
(iv) The foregoing Criteria must be satisfied as of the date of the notice.
(b) From and after the Determination Date in respect of a Designated Project, ASEC shall not lose any rights, or be required to transfer, convey or otherwise divest itself of any right or interest, in respect of such Designated Project solely by virtue of the fact that the Criteria may cease to be satisfied in respect of such Designated Project in question, after the notice date; provided that at the time the Definitive Agreements are signed with respect to such Designated Project, ASEC and/or the Designated Party have the financial ability/strength to develop such Project. Designated Project. 2.2.1.1 The Project involves construction of an elevated pedestrian corridor of about 540m in length and 6m clear width footbridge along Xxxx Xxxx Town Nullah and six pedestrian interchanges. It would also require the construction of pile foundation for the footbridge and box structure on piles for the pedestrian interchanges within the Xxxx Xxxx Town Nullah.
2.2.1.2 The Project involves construction works at the Xxxx Xxxx Town Nullah which eventually discharges into the Mai Po Marshes, a Site of Special Scientific Interest (SSSI). Hence, the Project is classified as a Designated Project (DP) under Item I.1(b)(i) under Part I of the Schedule 2 of the EIAO - A drainage channel or river training and diversion works which discharges or discharge into an area which is less than 300m from the nearest boundary of an existing or planned site of special scientific interest. Therefore, a detailed EIA for approval by the Director of Environmental Protection (DEP) is therefore required to apply the environmental permit (EP) for the construction and operation of the Project.
Designated Project. The Designated Entity shall design, engineer, procure, install, construct, test, and commission the Designated Project as described in Appendix A of this Agreement and pursuant to this Appendix B. Any required Network Upgrade Facilities, as described in Appendix A, shall be identified and finalized in the Transmission Interconnection Procedures and addressed in a Transmission Project Interconnection Agreement and/or associated engineering, procurement, and construction agreements among the Designated Entity, the Connecting Transmission Owner(s) and/or Affected System Operator(s), if applicable. Based on a preliminary design, the components of the Designated Project will consist of the following major electrical and physical equipment: Upgrade existing control and protection systems, as applicable, to eliminate NERC P5 contingencies (P5 contingencies as defined in NERC TPL-001-5.1). Designated Project. Once the Premises has been designated a Designated Site, Lessee shall prepare a master plan for its proposed improvements on the Premises (the “MDA Improvements”), including use of the 100,000 square feet of Phase 2 Square Footage and after Lessor’s approval of such Additional Improvements and Alterations pursuant to Article 12, Lessee shall apply for City approval of the master plan. Once the City has approved Lessee’s master plan, Lessor shall designate the MDA Improvements as one or more “Designated Project(s)” under the Xxxxxxxx Development Agreement, and may designate up to 400,000 square feet of existing improvements identified for redevelopment in Lessee’s notice as Associated Square Footage. Such designations shall not be revoked by Lessor except as provided in Section 5.6 below.
Designated Project. If an NI 43-101 compliant resource of economically viable scale is identified in a particular land area, the Saudi JVCo will constitute the land area as a "Designated Project" and Ma'aden shall procure the consent of the Ministry to transfer the exploration licence for the Designated Project to the Saudi JVCo. In order to be a Designated Project, the parties intend to secure for the Saudi JVCo, subject to applicable laws: A. an exploration and development license with a term of not less than five (5) years, enabling progressive exploration and development of the relevant land area subject to meeting agreed exploration spending/progress commitments; and B. a mining license with a term of not less than twenty five (25) years.
