Designated Managers. Each Party shall designate managers (the “Designated Manager”) who shall coordinate the Parties’ respective obligations under this Agreement. The Designated Managers shall be employees of Company and Microsoft tasked to oversee the performance of the relationship. Each Party may change its Designated Manager(s) from time to time, but shall inform the other Party of such a change. The Designated Managers shall meet periodically to discuss plans and issues as necessary, but not less than once per calendar quarter. Designated Managers. The Company and the Member agree to and shall cause the appointment of each manager (each such manager, a “Designated Manager”) and each Alternate Manager who has been designated as a Manager or an Alternate Manager of the Cleco Power Board in accordance with the terms of the General Partner Agreement. Xxxxxx and his Permitted Transferees own a combined LLC Interest and Derivative Share that exceeds 10% of the outstanding LLC Interests, he or his designee shall be a Manager. If CRM, Inc. and the Principals and their Permitted Transferees together own LLC Interests that exceed 10% of the outstanding LLC Interests in the aggregate, and either Xxxxxx X. Xxxxxx or Xxxxxx X. XxXxxxx ceases to be, or to be able to designate, a Manager as provided in the two immediately preceding sentences, then one of the Managers shall be a CRM, Inc. designee who shall be selected by the Principals by majority vote, which vote shall be based on their and their Permitted Transferees' direct LLC Interests and their Derivative Share of CRM, Inc.'s LLC Interest. For so long as WTI owns an LLC Interest that exceeds 10% of the outstanding LLC Interests, one of the Managers shall be a WTI Designee, except that, if, at any time, WTI owns an LLC Interest that exceeds 35% of the outstanding LLC Interests, two of the Managers shall be WTI Designees. Any Manager designated pursuant to this Section 5.2(a) is referred to as a "Designated Manager."
Designated Managers. 9.4.1 The signatories to this protocol will nominate one individual from their organisation to be responsible for the management of their Designated Officers list/register. Their primary role will be to maintain the list/register of Designated Officers and to inform business managers responsible for nominating Designated Officers of the requirement to replace any Designated Officer who ceases to be involved in that role. Designated Managers. To expedite the investigation, hearing and reply to any grievance, a General Manager may designate a Division Manager within the same Department, to hear and reply to a grievance on behalf of another Division Manager. To expedite the investigation, hearing and reply to any grievance, the Manager, Human Resources may designate a General Manager to hear a grievance on behalf of another General Manager. A reply to or from a designated Manager shall have the same force and effect as the Manager responsible. For the civilian operation of the the Officer in Charge will be designated as the General Manager and the Operations Inspector, Administrative Staff Sergeant, Operations Support Inspector and Manager, Administrative Services will be designated as Division Managers for the purpose of hearing grievances.
