Common use of Deposit of Escrow Securities Clause in Contracts

Deposit of Escrow Securities. On or before the effective date of the Registration Statement, (a) each Initial Stockholder shall deliver to the Escrow Agent the certificates representing such Initial Stockholder’s Escrow Shares, to be held and disbursed subject to the terms and conditions of this Agreement, and (b) the Initial Warrantholders shall deliver to the Escrow Agent a certificate representing the Initial Warrantholders’ Insider Warrants. Each Initial Stockholder acknowledges that the certificates representing the Escrow Shares shall bear a legend to reflect the deposit of such Escrow Shares under this Agreement. The Initial Warrantholders acknowledge that the certificate representing the Insider Warrants shall bear a legend to reflect the deposit of the Insider Warrants under this Agreement.
