Delivery of Series Certificate. The sole original executed copy of the Series Certificate has been delivered to the Issuer and has been registered in the name of the Issuer. The Series Certificate has no marks or notations indicating that it has been pledged, assigned or otherwise conveyed to any Person other than the Issuer, provided that the Series Certificate with an undated bond power covering the Series Certificate, duly executed by the Issuer and endorsed in blank, shall be delivered to the Indenture Trustee, and the Indenture Trustee shall maintain possession of the Series Certificate for the benefit of the Holders of the Notes, subject to the terms of the Indenture.
