Common use of Delivery of Records Clause in Contracts

Delivery of Records. If the Fiscal Agent or Registrar resigns or its appointment is terminated, the Fiscal Agent shall on the date on which the resignation or termination takes effect pay to the new Fiscal Agent any amount held by it for payment in respect of the Notes or Coupons and the Fiscal Agent or Registrar, as the case may be, shall deliver to the new Fiscal Agent or Registrar the records kept by it and all documents and forms held by it pursuant to this Agreement.

Delivery of Records. If the Fiscal Agent or Registrar resigns or its appointment is terminated, the Fiscal Agent shall on the date on which the resignation or termination takes effect pay to the new Fiscal Agent any amount held by it for payment in respect of the Notes or Coupons and the Fiscal Agent or Registrar, as the case may be, shall deliver to the new Fiscal Agent or Registrar the records kept by it and all documents and forms held by it pursuant to this Agreement.

If the Fiscal Agent or Registrar resigns or its appointment is terminated, the Fiscal Agent upon payment to it of any amount owing to it pursuant to Clause 13 and Clause 16 it shall on the date on which the resignation or termination takes effect pay to the new Fiscal Agent any amount held by it for payment in respect of the Notes or Coupons and the Fiscal Agent or Registrar, as the case may be, shall deliver to the new Fiscal Agent or Registrar the records kept by it (except such records as it is prevented by law or regulation from so delivering) and all documents Notes and forms Coupons held by it pursuant to this Agreement.

If the Fiscal Agent or Registrar the Paying Agent resigns or its appointment is terminated, the Fiscal such Agent shall shall, on the date on which the resignation or termination takes effect effect, (i) pay to the new Fiscal Agent or Paying Agent, as the case may be, any amount held by it for payment in respect of the Notes or Coupons and (ii) deliver to the new Fiscal Agent or RegistrarPaying Agent, as the case may be, shall deliver to the new Fiscal Agent or Registrar the records kept by it and all documents and forms held by it pursuant to this Agreement.
