Delivery of PRC Legal Opinion. The Company shall have received an opinion from its legal counsel in the People's Republic of China that confirms the legality under Chinese law of the restructuring being effected by the Company in connection with the Transactions and that is otherwise satisfactory to the Company, the Stockholders, the Parent and the investors investing in the Financing.

The Parent shall have received an opinion from the Company’s legal counsel in the People’s Republic of China that confirms the legality under Chinese law of the restructuring being effected by the Company in connection with the Transactions and that is otherwise satisfactory to the Company, the Stockholder, the Parent and the investors investing in the Financing.

Organic Region, the Shareholders and HCP shall have received an opinion from Organic Region’ legal counsel in the People’s Republic of China addressed to the Organic Region Companies, the Shareholders and HCP, confirming the legality under Chinese laws of the restructuring being effected by the Organic Region Companies in connection with the Transactions and the enforceability of this Agreement and that is otherwise satisfactory to the Organic Region Companies, the Shareholders and HCP.
Delivery of PRC Legal Opinion. Trunkbow shall have received an opinion from its legal counsel in the People’s Republic of China that confirms the legality under Chinese law of the restructuring being effected by Trunkbow in connection with the Transactions, assignment of material patents and the enforceability of this Agreement and that is otherwise satisfactory to Trunkbow, the Shareholders, and Bay Peak.
Delivery of PRC Legal Opinion. Leading Asia, Unitech and Fuhua shall have received an opinion from Leading Asia' legal counsel in the People's Republic of China addressed to the Leading Asia Companies, Unitech and Fuhua that confirms the legality under Chinese laws of the restructuring being effected by the Leading Asia Companies in connection with the Transactions and the enforceability of this Agreement and that is otherwise satisfactory to the Leading Asia Companies, Unitech and Fuhua.
Delivery of PRC Legal Opinion. New Resources and YzApp shall have received an opinion from New Resources' legal counsel in the People's Republic of China addressed to the New Resources Companies, YzApp and the Shareholder that confirms the legality under Chinese laws of the restructuring being effected by the New Resources Companies in connection with the Transactions and the enforceability of this Agreement and that is otherwise satisfactory to the New Resources Companies, the Shareholder and YzApp.
Delivery of PRC Legal Opinion. Lovego Holdings and Love Group shall have received an opinion from Lovego Holdings’ legal counsel in the People’s Republic of China addressed to the Lovego Holdings Companies, Love Group and the Shareholders that confirms the legality under Chinese laws of the restructuring being effected by the Lovego Holdings Companies in connection with the Transactions and the enforceability of this Agreement and that is otherwise satisfactory to the Lovego Holdings Companies, the Shareholders and Love Group.
Delivery of PRC Legal Opinion. TIGL shall have received an opinion from its legal counsel in the People's Republic of China that confirms the legality under Chinese law of the restructuring being effected by TIGL in connection with the Transactions and that is otherwise satisfactory to TIGL, the Shareholders, and BP2.

ALH shall have received an opinion from its legal counsel in the People’s Republic of China that confirms the legality under Chinese law of the restructuring being effected by ALH in connection with the Transactions and the enforceability of this Agreement and that is otherwise satisfactory to ALH, the Shareholder, and BP6.
Delivery of PRC Legal Opinion. EBH shall have received an opinion from its legal counsel in the People’s Republic of China (attached hereto as Schedule 6.3(d)) that confirms the legality under Chinese law of Hangzhou Yibang Spandex Company Ltd.’s restructuring effected by EBH.
