Common use of Delivery of Documentation Clause in Contracts

Delivery of Documentation. Instruction letters and stock powers representing all of the Shares to be sold by such Selling Stockholders hereunder will be delivered to the Company’s transfer agent (along with any other necessary documentation, as required by such transfer agent, in each case) prior to the Closing Date which ensures that such Shares are able to be transferred to the Underwriter pursuant to Section 2 hereof on the Closing Date.

Delivery of Documentation. Instruction letters and stock powers representing all of the Shares to be sold by such Selling Stockholders hereunder will be delivered to the Company’s transfer agent (along with any other necessary documentation, as required by such transfer agent, in each case) prior to the Closing Date or the Additional Closing Date, as the case may be, which ensures that upon the completion of the Exchange, such Shares are able to be transferred to the Underwriter Underwriters pursuant to Section 2 hereof on the Closing Date or the Additional Closing Date, as the case may be.
