DELIVERY AT THE INTERIM CLOSING. At the Interim Closing, the Contributor and the Contributor GP shall duly execute and deliver to the Partnership or its designated Affiliate such instruments of assignment or transfer with respect to the Acquired Assets contributed hereby comprising Release 1.2.5 as the Partnership may reasonably request and as may be necessary to vest in the Partnership or its designated Affiliates good record title to all of the Acquired Assets comprising Release 1.2.5 contributed pursuant hereto as required under the Development Agreement.
