DELIVERIES BY HBR. On or before the first Business Day immediately prior to the Closing Date (except as to the Closing Consideration which shall be delivered on or before the Payment Time), HBR, at its sole cost and expense, shall deliver or cause to be delivered into Escrow the following funds, documents and instruments, each dated as of the Closing Date, in addition to the other items and payments required by this Agreement to be delivered by HBR at the Closing:
