Delay in Completing Arrangement for Customer’s Use of Google Maps. Notwithstanding anything to the contrary in this Rider E, to the extent that Customer and Google are unable to agree (with both parties negotiating in good faith and in a manner consistent with this Rider towards the goal of agreeing) upon the terms under which Google Maps would be provided to Customer by the later of: (i) sixty days following the Effective Date of this Agreement or (ii) ninety days prior to Customer’s planned initial public launch of its Desktop Portal (such launch date in Customer’s good faith judgment), then Customer may refuse to use Google Maps and deploy an alternate product and/or service in its place.
