Definitions General. (a) For purposes of this Lease, "Taking" shall mean a taking through (i) the exercise of any power (by legal proceedings or otherwise) by any public or quasi-public authority or by any other party having the right of eminent domain or (ii) a voluntary sale or transfer by Landlord to a party having the right of eminent domain either under threat of exercise of eminent domain or while legal proceedings for eminent domain are pending.
