Common use of Deemed receipt Clause in Contracts

Deemed receipt. A notice, statement, report or other record that is: (1) mailed to a person by ordinary mail to the applicable address for that person referred to in Article 23.1 is deemed to be received by the person to whom it was mailed on the day, Saturdays, Sundays and holidays excepted, following the date of mailing; (2) faxed to a person to the fax number provided by that person referred to in Article 23.1 is deemed to be received by that person to whom it was faxed on the day it was faxed; (3) e-mailed to a person to the e-mail address provided by that person referred to in Article 23.1 is deemed to be received by the person to whom it was e-mailed on the day it was e-mailed; and (4) delivered in accordance with Article 23.1(c)(6), is deemed to be received by the person on the day such written notice is sent.

Deemed receipt.
