Common use of Deduction from amounts payable by the Agent Clause in Contracts

Deduction from amounts payable by the Agent. If any Party owes an amount to the Agent under the Finance Documents the Agent may, after giving notice to that Party, deduct an amount not exceeding that amount from any payment to that Party which the Agent would otherwise be obliged to make under the Finance Documents and apply the amount deducted in or towards satisfaction of the amount owed. For the purposes of the Finance Documents that Party shall be regarded as having received any amount so deducted.

Deduction from amounts payable by the Agent. If any Party owes an amount to the Agent under the Finance Documents the Agent may, after giving notice to that Party, deduct an amount not exceeding that amount from any payment to that Party which the Agent would otherwise be obliged to make under the Finance Documents and apply the amount deducted in or towards satisfaction of the amount owed. For the purposes of the Finance Documents Documents, that Party shall be regarded as having received any amount so deducted.

If any Party party to this Facility Agreement or any Holder owes an amount to the Agent under the Finance Documents the Agent may, after giving notice to that Partysuch party, deduct an amount not exceeding that amount from any payment to that Party such party which the Agent would otherwise be obliged to make under the Finance Documents and apply the amount deducted in or towards satisfaction of the amount owed. For the purposes of the Finance Documents that Party such party shall be regarded as having received any amount so deducted.

If any Party owes an amount to the Agent under the Finance Fundamental Documents the Agent may, after giving notice to that Party, deduct an amount not exceeding that amount from any payment to that Party which the Agent would otherwise be obliged to make under the Finance Fundamental Documents and apply the amount deducted in or towards satisfaction of the amount owed. For the purposes of the Finance Fundamental Documents that Party shall be regarded as having received any amount so deducted.

For the purposes of the Finance Transaction Documents that Party shall be regarded as having received any amount so deducted.

If any Party party owes an amount to the Agent under the any Finance Documents Document the Agent may, after giving notice to that Partyparty, deduct an amount not exceeding that amount from any payment to that Party party which the Agent would otherwise be obliged to make under the Finance Documents and apply the amount deducted in or towards satisfaction of the amount owed. For the purposes of the Finance Documents that Party party shall be regarded as having received such payment without any amount so deductedsuch deduction.

For the purposes of the Finance Documents that Party shall be regarded as having received any amount so deducted.

Notwithstanding the above, an Agent may not unless expressly authorised in writing by a Borrower, deduct any amount from any Loan requested by that Borrower.

For the purposes of the Finance Documents Documents, that Party shall be regarded as having received any amount so deducted.
