DECISIONS BY COMPANY. The powers of the Board of Directors of the Company may be exercised by a committee appointed by the Board and any such committee shall have the general responsibility for the administration and interpretation of this Agreement including determinations of compensation for purposes of Paragraph 4, subject to approval of the Board of Directors.
