Deadlocks. 37.1 Definition of a ‘Deadlock’ At a meeting of the Partnership Board, there have been an equal number of votes cast in favour of and against a proposed resolution. 37.2 How Deadlocks are to be resolved • By each Participant escalating the matter to its respective most senior officer (or his/her delegate). • Each Participant must direct its relevant representative to use reasonable efforts to attempt to resolve the Deadlock promptly and without causing unnecessary disruption or cost for either Participant.
