CVR Register Sample Clauses
The CVR Register clause establishes the requirement for maintaining an official record of holders of Contingent Value Rights (CVRs). In practice, this register lists the names, contact details, and holdings of all CVR holders, and is typically updated by the issuer or an appointed agent whenever CVRs are transferred or exercised. The core function of this clause is to ensure accurate tracking and administration of CVR ownership, which is essential for distributing payments or benefits and resolving any disputes regarding entitlement.
CVR Register. The Rights Agent shall keep at the Corporate Trust Office a register (the register maintained in such office and in any other office or agency designated pursuant to Section 7.2 being herein sometimes referred to as the “CVR Register”) for purposes of identifying the Holders of CVRs and in which, subject to such reasonable procedures and requirements as it may prescribe, the Rights Agent shall provide for the registration of CVRs and of transfers of CVRs on its books and records in book-entry form. The Rights Agent is hereby initially appointed “Registrar” for the purpose of registering CVRs and transfers of CVRs as herein provided.
