Customer-Supplied Materials. (a) PAPER, SEMI-FINISHED MATERIALS AND COMPONENTS. Customer shall have the right to supply its own text stock, cover stock, semi-finished materials and/or components. As Printer receives stock on Customer's behalf, Printer shall forward the receiving slips to Customer. If Printer discovers damage to paper, the damaged paper will be noted and identified and stored separately. Printer shall contact the merchant/mill representative and Customer so that the merchant/mill representative can initiate any claims for mill related or paper transportation problems. Printer shall account for the paper received from the merchant/mill, and shall submit to Customer a monthly report of paper received, paper received damaged, paper consumed, paper on hand and paper requirements, with such paper requirements being inclusive of the manufacturing waste allowance for press work and binding. Any semi-finished materials or components supplied by Customer will be supplied in such quantities so as to include waste allowances. Waste allowances for paper, semi-finished materials or components will be based on the waste allowances which would have been provided by Printer had Printer been supplying such materials, provided further, that such waste allowances will be consistent with industry standards. Printer will report actual and allowed component consumption for Customer supplied components on each invoice. Printer shall report all paper or stock received in damaged condition to Customer within two (2) business days from discovery of the damage. Printer will report actual and allowed paper consumption for Customer supplied paper on each invoice. All over consumption of Customer supplied paper will be credited to Customer directly on invoice at the price determined in Section 1.5. The value (measured at the cost determined in Section 1.5 if possible, otherwise at standard cost) of any Customer-supplied materials will be included for purposes of measuring Customer's compliance with the minimum volume requirement, as calculated in Section 1.2, even though Printer may not actually ▇▇▇▇ Customer for the value of the Customer supplied items.
(b) OTHER MATERIALS. Customer shall supply all film or digital files pursuant to Printer's prior specifications, and if Customer so decides, Customer shall have the right to request Printer to produce film at an additional cost as outlined in Subsection 1.4(a).
Customer-Supplied Materials. Starting Material and Packaging Material
4.1 The respective pharmaceutical responsibilities of Customer and Manufacturer for the Customer-Supplied Materials, the Starting Material and the Packaging Material shall be set forth in the Quality Agreement.
4.2 Customer-Supplied Materials will be provided by Customer [●].
4.3 Any change of the specification, the manufacturing process and/or the supplier of Starting Material and/or Packaging Material requires prior mutual written consent of the Parties, and may require submission to and approval of the prevailing regulatory authority prior to implementation. Customer will have the right, with the written consent of Manufacturer, to change of the specifications, the manufacturing process and/or the supplier of any Customer-Supplied Materials.
4.4 Manufacturer will source Starting Material in relation to the Forecast in reasonable amounts based on a minimum stock level of [●] relating to the current Forecast provided by Customer and is entitled to source Starting Material in relation to the Forecast in reasonable amounts based on a maximum stock level of [●] relating to the current Forecast provided by Customer (in case of Starting materials with a critical lead time special arrangements to be taken).
4.5 The Manufacturer is entitled to source Packaging Material in relation to the Forecast based on the following rules: Contract Products Contract Products Contract Products Material [●] [●] [●] Primary Packaging Material [●] [●] [●] Secondary Packaging Material [●] [●] [●] In the event of a packaging or artwork change that results in unused Packaging Materials, Customer shall not be responsible for paying for any unused Packaging Materials ordered by Manufacturer in excess of the amounts set forth above.
4.6 Manufacturer is responsible for the proper inspection of the quality of the Starting Material and Packaging Material which it provides. The respective material shall be inspected by Manufacturer for quality and identity and released in accordance with the Quality Agreement.
Customer-Supplied Materials. Any manufacturing material(s) provided by Buyer shall be in ample quantities to allow for reasonable scrap, and all such material(s) must be of suitable quality to facilitate efficient production. Seller is not responsible for loss or damage to any materials supplied by Buyer, whether such loss or damage occurs in or outside the course of normal manufacturing processes. An MSDS of the material is subject to review by Seller before accepting an order.
Customer-Supplied Materials. On the date(s) of the delivery of the in-person Services, Customer shall provide the following: an adequate training facility, on-site staff support, and media equipment requested by The Center. Any other requirements of the Customer, if any, will be set forth in the attached Statement of Work.
Customer-Supplied Materials. 4.1 Supply of Customer Provided Bulk Products. Customer shall supply (or have supplied by a designated third party) to Supplier, free of any charge, Customer Supplied Materials in such quantities as needed for the performance of the Packaging Services by Supplier, on the basis of orders to be placed by Supplier from time to time. Customer Supplied Materials shall be delivered to Supplier [***] (INCOTERMS® 2020).
Customer-Supplied Materials. If the parties hereto have agreed that the products to be manufactured by SST for Customer include components or materials to be supplied by Customer: (a) Customer shall deliver to SST's Palmdale Manufacturing Facility, the components/materials needed, in sufficient quantity {including provision for failed components/materials} to allow for the manufacture the products identified in firm Purchase Orders issued by Customer and accepted by SST, not later than five (5) weeks prior to the scheduled delivery date.
Customer-Supplied Materials. (a) Customer must supply all Customer-Supplied Materials to Mayne Pharma at no cost and must ensure all such Customer-Supplied Materials are delivered to Mayne Pharma’s Salisbury Site.
(b) Customer is responsible for ensuring the Customer-Supplied Materials are of good merchantable and safe quality and are reasonably fit for the purpose for which they are intended and must perform any testing on such Customer-Supplied Materials specified in item 5 of Schedule 1 Customer must ensure each delivery of Customer-Supplied Materials is accompanied by a certificate of analysis certifying that the Customer- Supplied Materials conform with the relevant specifications.
(c) The Customer-Supplied Materials are, and shall remain the exclusive property of Customer, and shall be insured against risk of loss at all times by Customer. Mayne Pharma will use Customer-Supplied Materials only as necessary or reasonably useful to perform its obligations under this agreement.
(d) Customer represents and warrants to Mayne Pharma that, as of the Commencement Date and at all times during the Term, no SDS or specific safety or handling data are or will be applicable to any Customer-Supplied Materials provided by Customer to Mayne Pharma, except as disclosed to Mayne Pharma in writing in advance by Customer in sufficient time for review and training by Mayne Pharma prior to Customer’s provision thereof; provided, however, that, where appropriate or required by law, as determined by Mayne Pharma in good faith and its reasonable discretion, Customer will provide a SDS and all related safety and handling data for any such Customer-Supplied Materials specified by Mayne Pharma.
Customer-Supplied Materials. Raw Materials. WuXi will purchase all raw materials required for manufacturing programs on the Customer's behalf in accordance with Section 4.9, except (i) when intellectual property concerns or restrictions dictate that Customer provide such materials (e.g. [***]) or (ii) where materials are unavailable in WuXi's supply chain, then Customer shall provide such raw materials and Customer Materials (collectively, "Materials") necessary to advance program milestones. Customer will be charged a [***] fee per shipment per Material provided by Customer. Release testing required for such Customer-provided Materials will incur additional fees and be quoted and charged separately. Customer shall provide all such Materials in a timely manner so that they can be tested and released by WuXi at least [***] prior to the scheduled start date of the Service for which such Materials are to be used. Any Customer-supplied Materials not provided in a timely manner may cause a Services start date to be cancelled or rescheduled. Customer shall be liable for the applicable fees listed under Section 4.7 for any cancelled or rescheduled Service arising under this Section 4.11. Customer further agrees and acknowledges that the commercial value and/or cost of replacement of Customer Materials (e.g. patient cells or material, virus, or raw material), is a matter that is within the sole and exclusive knowledge of Customer and acknowledges that it is solely responsible to insure such Customer Material against damage or loss. Customer further agrees that under no circumstances shall WuXi be liable for loss or damage to any such Customer Material, except where such loss is the result of WuXi's gross negligence or willful misconduct. WuXi shall not use Customer Materials for any purpose other than the performance of the Services in accordance with this Agreement, and shall not reverse engineer the Customer Materials or transfer the Customer Materials to any third party without the written consent of Customer.
Customer-Supplied Materials. When CI is to manufacture goods utilizing Customer-supplied materials, Customer shall not be able to claim the goods are unfit for the intended use. Furthermore, Customer agrees to have materials fully available CI a minimum of 48 hours before manufacturing is scheduled to begin and a commercially reasonable allowance for startup and manufacturing yield loss is to be included.
Customer-Supplied Materials. On the Date(s) of the Services, Customer shall provide the following: an adequate training site, on-site staff support, and media equipment requested by HMH.
