Common use of Customer Representations Clause in Contracts

Customer Representations. Customer represents and warrants that (i) it has a legitimate business interest or obtained all permissions and consent required by law to transfer the Content so that ▇▇▇▇▇▇ ▇▇▇▇▇▇▇ may lawfully use and process in accordance with this Agreement; and (ii) it has delegated authority to its advisors in providing instructions in connection with the Services, and ▇▇▇▇▇▇ ▇▇▇▇▇▇▇ has no duty to verify such instructions with Customer; and (iii) it will not use the Services for any fraudulent or unlawful purposes, not allow others to do so.

Customer hereby represents and warrants that that: (i) it has a legitimate business interest or obtained all permissions and consent required by law to transfer shall only use the Content so that ▇▇▇▇▇▇ ▇▇▇▇▇▇▇ may lawfully use and process Service in accordance full compliance with this Agreement; these Terms, and (ii) it has delegated authority sufficient rights and permits to its advisors in providing instructions in connection with provide, make available and/or permit the ServicesCompany to collect, use and store any and all User Information, and ▇▇▇▇▇▇ ▇▇▇▇▇▇▇ has no duty to verify such instructions other data provided or made available by Customer in the framework of its use of the Service, in compliance with Customer; Section 3(a) herein and (iii) it will not use the Services for all applicable laws, rules and regulations, including without limitation, any fraudulent or unlawful purposesand all applicable privacy laws, not allow others to do sorules and regulations.
