Common use of Customer Interface Clause in Contracts

Customer Interface. CME hereby acknowledges and agrees that, other than any CME Materials incorporated in Company’s Customer Interface, as between CME and Company, all right, title and interest in and to the Company’s Customer Interface shall inure to and become the exclusive property of Company. If applicable, Company represents that its agreements with its Customers prohibit such Customers from reverse engineering or altering the gateway portion of Company’s software that directly interfaces with the CME Interfaces.
