Customer Audits. Customer agrees to exercise any right it may have to conduct an audit or inspection, including under the Standard Contractual Clauses if they apply, by instructing AWS to carry out the audit described in Section 10. If Customer wishes to change this instruction regarding the audit, then Customer has the right to request a change to this instruction by sending AWS written notice as provided for in the Agreement. If AWS declines to follow any instruction requested by Customer regarding audits or inspections, Customer is entitled to terminate this DPA and the Agreement. If the Standard Contractual Clauses apply, nothing in this Section varies or modifies the Standard Contractual Clauses nor affects any supervisory authority’s or data subject’s rights under the Standard Contractual Clauses.
Customer Audits. On-site audits are limited to one day per year and scheduled by mutual agreement. Customers must contact ACC’s Audit Coordinator to initiate the audit approval and scheduling process. A current confidentiality agreement is required and auditors are required to comply with applicable ACC Quality and Safety procedures. ACC SOPs are available for viewing during on-site audit, neither original SOPs or copies will be made available outside of the company.
Customer Audits. Customer chooses to conduct any audit, including any inspection, it has the right to request or mandate on its own behalf, and on behalf of its controllers when Customer is acting as a processor, under Applicable Data Protection Law or the Standard Contractual Clauses, by instructing AWS to carry out the audit described in Section 10. If Customer wishes to change this instruction regarding the audit, then Customer has the right to request a change to this instruction by sending AWS written notice as provided for in the Agreement. If AWS declines to follow any instruction requested by Customer regarding audits, including inspections, Customer is entitled to terminate the Agreement in accordance with its terms.
Customer Audits. 4me also grants Audit Rights described in 10.4 of this Addendum to Customer and any other person or legal entity appointed by each of them with respect to the Services, but only to the extent necessary to comply with laws and regulatory requirements of any applicable jurisdiction. Customer Audits. Customer (or its third-party regulator) or a mutually agreeable third party auditor, may audit ▇▇▇▇▇▇’▇ control environment and security practices relevant to Personal Data processed only if: (a) ▇▇▇▇▇▇ has not provided reasonably sufficient evidence of its compliance with the Technical and Organizational Measures in Appendix 2; (b) A Security Breach has occurred; (c) Customer or another Data Controller has reasonable grounds to suspect that ▇▇▇▇▇▇ is not in compliance with its obligations under this DPA; or (d) An audit is formally requested by Customer’s or another Data Controller’s data protection authority. Where Customer audits ▇▇▇▇▇▇’▇ environment, ▇▇▇▇▇▇ will reasonably support Customer in its audit processes subject to the restrictions set forth in Section 5.2. Upon Customer’s request, security documentation of ▇▇▇▇▇▇ or its applicable Subprocessor(s) can be provided to Customer.
Customer Audits. During the last three (3) years (i) no audit has been conducted by or on behalf of the Company or any of its Subsidiaries which has revealed an underpayment of royalties by any customer in excess of $15,000,000; and (ii) to the Knowledge of the Company, no customer has manipulated the average sales price (as defined in the relevant customer’s Contract with the Company or any of its Subsidiaries) of any Company Product for the purpose of reducing the royalties payable to the Company or any of its Subsidiaries.
Customer Audits. AWS engages external auditors to verify the adequacy of its security measures, including the security of the physical data centers from which AWS provides its services. This audit will result in the generation of an audit report (“Report”). SAP will make the Report available to Customer or Customer’s supervisory data protection authority upon Customer’s request. Customer agrees, that (i) each Report is considered confidential information and therefore subject to the confidentiality provisions of the Agreement and (ii) notwithstanding any contrary terms in the Agreement, Customer hereby expressly acknowledges and agrees that AWS shall be deemed a third party beneficiary of, and shall be entitled to directly enforce against Customer, such confidentiality provisions of the Agreement in the event of a breach by the Customer. For the avoidance of doubt, such rights shall be limited to the confidentiality of Reports only. In case Customer has to disclose a confidential Report to a supervisory data protection authority Customer will inform the authority in writing that the Report is AWS’ confidential information.
Customer Audits. If Customer (or an authorized Customer Affiliate) has entered into Model Contract Clauses as described in Section 10.2 of this Data Processing Amendment, Customer or such Customer Affiliate may exercise the audit rights granted under clauses 5(f) and 12(2) of such Model Contract Clauses:
(a) by instructing Google to execute the audit as described in Sections 6.4 and 6.5.1 above; and/or
(b) following a request by Customer in accordance with Section 6.5.4 below, by executing an audit as described in such Model Contract Clauses.
Customer Audits. Acquia offers its Services in the cloud in a one-to-many business model that relies on standardization of best practices and industry standards for the benefit of its Customers and which is utilizing third-party providers and Sub-processors. As a result, onsite audits by Customers pose security and privacy risks to Acquia, other Acquia Customers and Acquia Sub-processors. Moreover, some Sub-processors such as Amazon Web Services (“AWS”) do not allow for physical audits of their data centers, but instead provide third party audits and certifications. It is for these reasons, among others, that Acquia’s security program consists of the audits, certifications and available documentation detailed in Section 13 “Acquia Certifications and Standards by Product Offering” above as part of balancing transparency regarding the security and privacy safeguards that Acquia has implemented, while also satisfying security and privacy requirements as part of security and privacy obligations to Acquia Customers, and its Sub-processors, including AWS. Therefore, Customer agrees to exercise its right to conduct an audit or inspection of Acquia’s processing of personal data within Customer Data by instructing Acquia to carry out audits as described above in Section 13 “Acquia Certifications and Standards by Product Offering” above using its current processes and timing. If Customer wishes to change this instruction regarding the audit or inspection, then Customer shall send such request by written notice to Acquia, and the parties agree to jointly discuss how to implement the changed instruction.
