Common use of Customer Acknowledgment Clause in Contracts

Customer Acknowledgment. Notwithstanding any provision of the Sale Documents to the contrary, without limiting the representation in the first sentence of Section 5.16(c), the Purchaser expressly acknowledges and agrees that (a) neither the Company nor any of the Sellers makes any representation or warranty, express or implied, with respect to (i) the continuation, termination, cancellation, modification or amendment by the Company's customers of any of the Material Contracts or relationship with the Company's customers or (ii) the ownership or right of the Company to use any of the customer's Equipment and (b) the Purchaser will assume the risk, and neither the Company nor any of the Sellers will have any liability with respect to (i) the termination, cancellation, modification or amendment of any Material Contract or relationship with any of the Company's customers, whether or not such customers have the legal right to so terminate, modify, cancel or amend such Material Contracts or (ii) the Company's loss of the right to use or operate any of the Company's customer's Equipment.
