Common use of Custodians and nominees Clause in Contracts

Custodians and nominees. The Security Agent may appoint and pay any person to act as a custodian or nominee on any terms in relation to any asset of the trust as the Security Agent may determine, including for the purpose of depositing with a custodian this Agreement or any document relating to the trust created under this Agreement and the Security Agent shall not be responsible for any loss, liability, expense, demand, cost, claim or proceedings incurred by reason of the misconduct, omission or default on the part of any person appointed by it under this Agreement or be bound to supervise the proceedings or acts of any person.

Custodians and nominees. The Security Agent may appoint and pay any person to act as a custodian or nominee on any terms in relation to any asset assets of the trust as the Security Agent may determine, including for the purpose of depositing with a custodian this Agreement or any document relating to the trust created under this Agreement and the Security Agent shall not be responsible for any loss, liability, expense, demand, cost, claim or proceedings incurred by reason of the misconduct, omission or default on the part of any person appointed by it under this Agreement or be bound to supervise the proceedings or acts of any person.

The Security Agent may appoint and pay any person to act as a custodian custodian, agent or nominee on any terms (including for the receipt of moneys) in relation to any document or asset it holds on the terms of the trust this Agreement as the Security Agent may determine, including for the purpose of depositing with a custodian this Agreement or any other document relating to the trust created under this Agreement and the Security Agent shall will not be bound to supervise or be in any way responsible or liable for any loss, liability, expense, demand, cost, claim loss or proceedings incurred by reason liability whatsoever any person incurs or any diminution in value arising as a result of the misconduct, omission or default on the part of any person appointed by it under this Agreement such custodian or be bound to supervise the proceedings or acts of any personnominee.
