Common use of Custodial Charges Clause in Contracts

Custodial Charges. (a) Except as set forth in Section 7(b) below, pursuant to Section 2202.1 of the Guide, compensation for Designated Custodian's services, including any action taken at the request or demand of Xxxxxxx Mac, is the sole responsibility of Seller/Servicer. Seller/Servicer and Designated Custodian shall enter into a written agreement regarding Designated Custodian’s charges and fees for certifying, holding, releasing, copying, and other activities relating to the Notes; provided that (i) such agreement may not contain any other terms that relate to the substance of this Agreement, including Xxxxxxx Mac’s ability to gain access to or remove the Notes without notice to, or the consent of, Seller/Servicer, and

Seller/Servicer and Designated Custodian shall enter into a written agreement regarding Designated Custodian’s charges and fees for certifying, holding, releasing, copying, and other activities relating to the Notes; provided that (i) such agreement may not contain any other terms that relate to the substance of this Agreement, including Xxxxxxx Mac’s ability to gain access to or remove the Notes without notice to, or the consent of, Seller/Servicer, andand (ii) in the event of a conflict between any such agreement and this Agreement, this Agreement shall govern.
