Common use of Current Registration Statement Clause in Contracts

Current Registration Statement. Once effective, the Company shall use its reasonable efforts to cause such Registration Statement filed hereunder to remain current and effective for a period of two (2) years or until the Conversion Shares covered by such Registration Statement are sold by the Subscriber, whichever is sooner. The Subscriber shall promptly provide all such information and materials and take all such action as may be required in order to permit the Company to comply with all applicable requirements of the SEC and to obtain any desired acceleration of the effective date of such registration statement.

The Subscriber Buyer shall promptly provide all such information and materials and take all such action as may be required in order to permit the Company to comply with all applicable requirements of the SEC Commission and to obtain any desired acceleration of the effective date of such registration statement.

Once effective, the Company shall use its reasonable efforts to cause such Registration Statement any registration statement filed hereunder under Section 4.a. hereof to remain current and effective for a period of two one (21) years year or until the Conversion Shares and Warrant Shares covered by such Registration Statement registration statement are sold by the Subscriber, whichever is soonerless. The Subscriber shall promptly provide all such information and materials and take all such action as may be required in order to permit the Company to comply with all applicable requirements of the SEC and to obtain any desired acceleration of the effective date of such registration statement.
