Current Obligations. I agree that during the term of my employment with the Company, I will not engage in or undertake any other employment, occupation, consulting relationship, or commitment that is directly related to the business in which the Company is now involved or becomes involved or has plans to become involved, nor will I engage in any other activities that conflict with my obligations to the Company.
Current Obligations. Employee agrees that during the term of his employment with the Company, he will not engage in or undertake any other employment, occupation, consulting relationship, or commitment that is directly related to the business in which the Company is now involved or becomes involved or a business which Employee understands the Company to actively have plans to become involved, nor will Employee engage in any other activities that interfere with his ability to fully and satisfactorily perform his duties to the Company, except as may otherwise be agreed in writing by and between Employee and the Company.
Current Obligations. Recipient agrees that, during the Relationship, Recipient (i) has a duty of loyalty to the Company, (ii) shall not engage in or undertake any other employment, occupation, consulting, or commitment that is directly related to Company’s actual or anticipated businesses, products, services, or research and development, and (iii) shall not engage in any other activities or enter any agreements that conflict with this Agreement or Recipient’s other obligations to the Company. Without limiting the generality of the foregoing, Recipient further agrees that Recipient shall not, directly or indirectly through another person or entity, during the Relationship (A) anywhere in the world, render services of any nature to any person or entity who engages in any business that competes with the Company, (B) solicit or induce any employee or service provided of the Company to leave the employ or service of the Company, (C) make any statement or do any act intended to cause the existing or potential customers of the Company to use the products or services of a competitor to the Company, or (D) induce any customer or other business relation of the Company to cease doing business with or negatively alter its business with the Company.
Current Obligations. Except for tax protests made in good faith and, the posting, if required, of any and all bonds therewith, Borrower shall pay all of its current obligations before they become delinquent, including all federal, state and local taxes, assessments, levies and governmental charges and all other payments required under any federal, state or local law.
Current Obligations. Nothing in this Agreement shall (a) limit the performance of the Company’s outstanding contractual obligations as of January 21, 2024, or (b) give the Rights Holder any veto right over the performance of any such obligations or the issuance of any Ordinary Shares, options or other securities of the Company in accordance with applicable employee incentive plans.
Current Obligations. The Company and each Subsidiary shall pay, when due, or in conformity with customary trade terms but not later than 90 days from the due date, all lease obligations, all trade debt, and all other indebtedness incident to the operations of the Company or its Subsidiaries, except such as are being contested in good faith and by proper proceedings if the Company or Subsidiary shall have set aside on its books sufficient reserves, if any, with respect thereto or where the failure to so pay would not have a material adverse effect on the business, properties, assets or condition (financial or otherwise) of the Company or its Subsidiaries. The Company and each Subsidiary will pay and discharge all lawful claims for labor, materials and supplies which, if not paid when due, might become a lien or charge upon its property or any part thereof.
Current Obligations. I agree that during the term of my employment with the Company, I will not engage in or undertake any other employment, occupation, consulting relationship or commitment, or engage, invest or participate in any business that is similar to those which the Company is engaged in, has created, has under development or is the subject of active planning from time to time (each a “Competitive Business”) during my employment by the Company, provided, however, that I may own, as a passive investor, publicly-traded securities of any Competitive Business so long as such securities do not, in the aggregate, constitute more than three percent (3%) of any class of outstanding securities of such Competitive Business. I further agree not to engage in any other activities that conflict with my obligations to the Company.
Current Obligations. Seller shall be current, as of the Closing Date and Hotel Closing Date, respectively, in its obligations on all permits, leases, moorage, dockage, licenses, and other existing contracts which are part of the Assets purchased. Seller shall use its commercially reasonable efforts to obtain estoppel certificates from the other party to each such agreement, but shall not be responsi- ble to Purchaser for failure to obtain such estoppel certificates.
Current Obligations. I agree that during the term of my employment with the Company, I will not engage in or undertake any other employment, occupation, consulting relationship, or commitment that is directly related to the business in which the Company is now involved or becomes involved or has plans to become involved, nor will I engage in any other activities that conflict with my obligations to the Company. Prior Relationships. Without limiting Section 4.A, I represent that I have no other agreements, relationships, or commitments to any other person or entity that conflict with my obligations to the Company under this Agreement or my ability to become employed and perform the services for which I am being hired by the Company. I further agree that if I have signed a confidentiality agreement or similar type of agreement with any former employer or other entity, I will comply with the terms of any such agreement to the extent that its terms are lawful under applicable law. I represent and warrant that after undertaking a careful search (including searches of my computers, cell phones, electronic devices, and documents), I have returned all property and confidential information belonging to all prior employers. Moreover, I agree to fully indemnify the Company, its directors, officers, agents, employees, investors, shareholders, administrators, affiliates, divisions, subsidiaries, predecessor and successor corporations, and assigns for all verdicts, judgments, settlements, and other losses incurred by any of them resulting from my breach of my obligations under any agreement to which I am a party or obligation to which I am bound, as well as any reasonable attorneys’ fees and costs if the plaintiff is the prevailing party in such an action.
Current Obligations. The parties acknowledge that the current obligations of Alanco and its subsidiaries to the Andersons and their related parties, include the following:
