Cross-Conditionality. The sale and purchase of the MSGN Shares shall be conditioned on the substantially concurrent sale and purchase of the MSG Shares, and the sale and purchase of the MSG Shares shall be conditioned on the substantially concurrent sale and purchase of the MSGN Shares, in each case, unless ▇▇▇▇▇▇▇ ▇. ▇▇▇▇▇ and ▇▇▇▇▇ ▇. ▇▇▇▇▇ agree otherwise in writing.
