Covenants of the Purchaser and the Merger Sub. The Purchaser and the Merger Sub shall have duly performed in all material respects all of the covenants, acts and undertakings to be performed by them on or prior to the Closing Date, and a duly authorized officer of each of the Purchaser and the Merger Sub shall deliver a certificate dated as of the Closing Date certifying to the fulfillment of this condition and the condition set forth under Section 8.3(a) above.
