Common use of Covenants of Sellers Clause in Contracts

Covenants of Sellers. Sellers covenant and agree with Purchaser that, between the Date Hereof and the Closing Date, except to the extent Purchaser may otherwise consent in writing or to the extent otherwise required or permitted by this Agreement, in addition to the obligations of Guest under Subsection 3.6, Sellers will comply with all covenants and provisions of this Section.

Covenants of Sellers. Sellers covenant and agree with Purchaser that, between at all times from and after the Date Hereof and date hereof until the Closing Dateand, except with respect to the extent Purchaser may otherwise consent covenants and agreements in writing or to Section 4.10 for the extent otherwise required or permitted by this Agreement, in addition to the obligations of Guest under Subsection 3.6period specified therein, Sellers will comply with all covenants and provisions of this SectionArticle IV, except to the extent Purchaser may otherwise consent in writing.

Covenants of Sellers. Sellers jointly and severally covenant and agree with Purchaser that, between at all times from and after the Date Hereof and date hereof until the Closing Dateand, except with respect to any covenant or agreement by its terms to be performed in whole or in part after the extent Purchaser may otherwise consent in writing or to Closing, for the extent otherwise required or permitted by this Agreementperiod specified therein or, in addition to the obligations of Guest under Subsection 3.6if no period is specified therein, indefinitely, Sellers will comply with all covenants and provisions of this SectionArticle IV, except to the extent Purchaser may otherwise consent in writing.

Sellers covenant and agree with Purchaser that, between at all times from and after the Date Hereof and date hereof until the Closing Dateand, except with respect to any covenant or agreement by its terms to be performed in whole or in part after the extent Purchaser may otherwise consent in writing or to Closing, for the extent otherwise required or permitted by this Agreementperiod specified therein or, in addition to the obligations of Guest under Subsection 3.6if no period is specified therein, indefinitely, Sellers will comply with all covenants and provisions of this SectionArticle IV, except to the extent Purchaser may otherwise consent in writing.

Sellers Sellers, jointly and severally, covenant and agree with Purchaser that, between at all times from and after the Date Hereof and date hereof, for the Closing Dateperiod specified herein or, except to the extent Purchaser may otherwise consent in writing or to the extent otherwise required or permitted by this Agreementif no period is specified herein, in addition to the obligations of Guest under Subsection 3.6indefinitely, Sellers will comply with all covenants and provisions of this SectionArticle V, except to the extent Purchaser may otherwise give its prior consent in writing.

Sellers covenant covenants and agree agrees with Purchaser that, between at all times from and after the Date Hereof and date hereof until the Closing Date, except to the extent Purchaser may otherwise consent in writing or to the extent otherwise required or permitted by this Agreement, in addition to the obligations of Guest under Subsection 3.6Closing, Sellers will comply with all covenants and provisions of this SectionArticle IV, except to the extent Purchaser may otherwise consent in writing.

Covenants of Sellers. Sellers covenant and agree with Purchaser that, between that from the Effective Date Hereof and to the earlier of the termination of this Agreement or the Closing Date, except and in the case of Section 5.12 to the extent Purchaser may otherwise consent in writing or to end of the extent otherwise required or permitted by this Agreement, in addition to the obligations of Guest under Subsection 3.6applicable period specified therein, Sellers will comply with all covenants and provisions of this SectionArticle 5, except to the extent Purchaser may otherwise consent in writing.

Sellers covenant and agree with Purchaser thatthat (and Purchaser covenants and agrees for purposes of Section 4.06), between at all times from and after the Date Hereof and date hereof until the Closing Dateand, except with respect to any covenant or agreement by its terms to be performed in whole or in part after the extent Purchaser may otherwise consent in writing or to Closing, for the extent otherwise required or permitted by this Agreementperiod specified therein or, in addition to the obligations of Guest under Subsection 3.6if no period is specified therein, indefinitely, Sellers will comply with all covenants and provisions of this SectionArticle IV, except to the extent Purchaser may otherwise consent in writing.

Covenants of Sellers. Sellers covenant Each Seller jointly and agree severally covenants and agrees with Purchaser that, between at all times from and after the Date Hereof and date hereof until the Closing Dateand in the case of Sections 4.07 and 4.11 for the period specified therein, such Seller will comply with all covenants and provisions of this Article IV applicable to it, except to the extent Purchaser may otherwise consent in writing or to the extent otherwise required or permitted by this Agreement, in addition to the obligations of Guest under Subsection 3.6, Sellers will comply with all covenants and provisions of this Sectionwriting.

Covenants of Sellers. Sellers covenant and agree with Purchaser that, between at all times from and after the Date Hereof date hereof until the Closing, and subject, from and after the Closing Petition Date, except to the extent Purchaser may otherwise consent in writing or to limitations imposed on any Seller by Law as a result of Sellers having filed for petitions for relief under the extent otherwise required or permitted by this Agreement, in addition to the obligations of Guest under Subsection 3.6Bankruptcy Code, Sellers will comply with all covenants and provisions of this Section.Article IV, except to the extent Purchaser may otherwise consent in writing. 4.01

Sellers covenant Each Seller covenants and agree agrees with Purchaser that, between at all times from and after the Date Hereof and date hereof until the Closing Date(and after the Closing to the extent expressly contemplated herein), each Seller will, and will cause each of its Subsidiaries to, comply with all covenants and provisions of this Article IV, except to the extent Purchaser may otherwise consent in writing or to the extent otherwise required or permitted by this Agreement, in addition to the obligations of Guest under Subsection 3.6, Sellers will comply with all covenants and provisions of this Sectionwriting.

Covenants of Sellers. Sellers covenant Each Seller, as the case may be, covenants and agree agrees with Purchaser that, between at all times from and after the Date Hereof date hereof until the Closing, such Seller, will comply, to the extent applicable to it, with all covenants and the Closing Dateprovisions of this Article V, except to the extent Purchaser may otherwise consent in writing or to the extent otherwise required or permitted by this Agreement, in addition to the obligations of Guest under Subsection 3.6, Sellers will comply with all covenants and provisions of this Sectionwriting.

Covenants of Sellers. Sellers covenant Each Seller, on the one hand, and agree Purchaser, on the other, covenants and agrees with Purchaser each other that, between at all times from and after the Date Hereof and date hereof until the Closing Date, except (and after the Closing to the extent expressly contemplated herein), each Seller and Purchaser may otherwise consent in writing or to the extent otherwise required or permitted by this Agreementwill, in addition to the obligations and will cause each of Guest under Subsection 3.6its Subsidiaries to, Sellers will comply with all covenants and provisions of this SectionArticle IV, except to the extent Purchaser, in the case of each Seller, and Sellers, in the case of Purchaser, may otherwise consent in writing.
