Covenant to Comply with Securities Laws upon Redemption of Notes. In connection with any redemption of Obligations pursuant to this Section 3.14, the Company shall: (i) comply with the provisions of Rule 13e-4, Rule 14e-1 (or any successor provision) and any other tender offer rules under the Exchange Act that may then be applicable and (ii) otherwise comply with all federal and state securities laws. To the extent that the provisions of any securities laws or regulations conflict with the provisions of this Section 3.14, the Company’s compliance with such laws and regulations shall not in and of itself cause a breach of its obligations under this Section 3.14.
