Common use of Counterparts of Agreement Clause in Contracts

Counterparts of Agreement. The Administrative Agent shall have received duly executed and delivered counterparts (or written evidence thereof satisfactory to the Administrative Agent, which may include telecopy transmission of, as applicable, a signed signature page) of this Incremental Activation Notice from (i) each Loan Party and (ii) the Lenders listed on Schedule I hereto (the “Incremental Term Lenders”).

Counterparts of Agreement. The Administrative Agent shall have (i) received duly executed and delivered counterparts (or written evidence thereof satisfactory to the Administrative Agent, which may include e-mail or telecopy transmission of, as applicable, of a signed signature page) of this Incremental Activation Notice Agreement from (i) each Loan Party Obligor and (ii) obtained consents from the Consenting Lenders listed on Schedule I hereto and the Majority Lenders (after giving effect to the “Incremental borrowing of the Tranche E Term Lenders”Loans and the application of proceeds therefrom).

The Administrative Agent shall have received duly executed and delivered counterparts (or written evidence thereof satisfactory to the Administrative Agent, which may include telecopy transmission of, as applicable, a signed signature page) of this Incremental Activation Notice from (i) each Loan Party and Party, (ii) the Lenders each Term D Lender listed on Schedule I hereto II and (the “Incremental Term Lenders”).iii) each Revolving Lender listed on Schedule I.

Counterparts of Agreement. The Administrative Agent shall have received duly executed and delivered counterparts (or written evidence thereof satisfactory to the Administrative Agent, which may include telecopy transmission of, as applicable, a signed signature page) of this Incremental Activation Notice Facility Agreement No. 1 from (i) each Loan Party and (ii) the Lenders each Tranche B-1 Term Lender listed on Schedule I hereto (the “Incremental Term Lenders”)hereto.

Counterparts of Agreement. The Administrative Agent shall have received duly executed and delivered counterparts (or written evidence thereof satisfactory to the Administrative Agent, which may include telecopy transmission of, as applicable, a signed signature pagepage or Lender Addendum) of this Incremental Activation Notice from (i) this Agreement from each Loan Party Obligor and (ii) Lender Addenda from the Tranche E Term Loan Lenders listed on Schedule I hereto (the “Incremental for aggregate Tranche E Term Lenders”)Loan Commitments in an amount equal to $350,000,000.

The Administrative Agent shall have (i) received duly executed and delivered counterparts (or written evidence thereof satisfactory to the Administrative Agent, which may include telecopy transmission of, as applicable, of a signed signature page) of this Incremental Activation Notice Agreement from (i) each Loan Party Obligor and (ii) obtained all necessary consents of the Consenting Lenders listed on Schedule I hereto (and the “Incremental Term Majority Lenders”).

The Administrative Agent shall have received duly executed and delivered counterparts (or written evidence thereof satisfactory to the Administrative Agent, which may include telecopy transmission of, as applicable, a signed signature page) of this Incremental Activation Notice Agreement from (i) each Loan Party Obligor and (ii) the Lenders each Lender listed on Schedule I hereto (the “Incremental Term Lenders”)hereto.

Counterparts of Agreement. The Administrative Agent shall have received duly executed and delivered counterparts (or written evidence thereof satisfactory to the Administrative Agent, which may include telecopy transmission of, as applicable, a signed signature page) of this Term F Incremental Activation Notice from (i) each Loan Party and Party, (ii) each Funding Term F Lender and (iii) Lenders with Converted Existing Term Loans in an aggregate principal amount, when aggregated with the Lenders listed on Schedule I hereto (the “Incremental aggregate principal amount of Term Lenders”)F Loan Commitments, equals, $1,200,000,000.

Counterparts of Agreement. The Administrative Agent shall have received duly executed and delivered counterparts (or written evidence thereof satisfactory to the Administrative Agent, which may include telecopy transmission of, as applicable, a signed signature page) of this Incremental Activation Notice from (i) each Loan Party and Party, (ii) the Lenders each Term A Lender and each Revolving Lender listed on Schedule I hereto (collectively, the “Incremental Term Lenders”), and (iii) each Issuing Lender.

Counterparts of Agreement. The Administrative Agent shall have received duly executed and delivered counterparts (or written evidence thereof reasonably satisfactory to the Administrative Agent, which may include telecopy transmission of, as applicable, a signed signature page) of this Incremental Activation Notice Amendment from (i) each Loan Party and (ii) the Lenders each Term B-1 Lender listed on Schedule I hereto (the “Incremental Term Lenders”)hereto.
