Costs and Expenses Upon Termination. Upon termination of this Agreement and/or the Management Services in accordance with Section 4.1 hereof, the Partnership shall be obligated to pay any and all amounts payable pursuant to Section 3.1 hereof for the applicable Services provided prior to the time of termination.
